1. Scope of Services
1.1 Acacious Technologies provides a range of IT, digital marketing, and consulting services as per mutually agreed proposals, quotations, or service agreements.
1.2 The exact scope, deliverables, and timelines will be clearly defined before the commencement of any project.
1.3 Any additional services requested by the client that are beyond the agreed scope will be subject to additional charges and revised timelines.
2. Advance Payment Policy
2.1 We operate strictly on an advance payment model.
2.2 Before initiating any project or service, the client is required to pay the agreed amount in advance.
2.3 The advance payment is non-refundable except in cases where Acacious Technologies is unable to initiate the agreed service.
2.4 If partial payment is agreed upon for longer-term projects, services will be delivered proportionally to the amount received.
3. Service Duration & Commitment
3.1 Once the advance payment is received, Acacious Technologies will ensure the service is provided for the duration equivalent to the payment made.
- Example: If payment is made for one month of service, we commit to delivering services for the entire month.
3.2 For ongoing retainers or subscription-based services, payments must be cleared in advance before the next cycle begins to avoid service interruption.
3.3 Any delays caused by the client (e.g., pending approvals, missing information) may affect the service timeline, for which Acacious Technologies shall not be held liable.
4. Notice Period for Stopping Work
4.1 If the client wishes to discontinue the services, a minimum 15-day written notice must be provided to Acacious Technologies.
4.2 Similarly, if Acacious Technologies decides to stop services due to unavoidable circumstances, we will also provide a 15-day notice period.
4.3 Any pending work or deliverables during the notice period will be completed in proportion to the payment already received.
5. Client Responsibilities
5.1 The client must provide accurate and complete information necessary for the execution of services.
5.2 Delays in providing necessary inputs, approvals, or content may lead to delays in deliverables, and Acacious Technologies will not be responsible for any resulting timeline extensions.
5.3 The client must ensure all provided content, data, and materials do not infringe any copyrights or legal obligations.
6. Revisions & Modifications
6.1 Acacious Technologies will provide revisions or changes only within the agreed scope of work.
6.2 Major modifications or additional requests beyond the original agreement will be treated as a new task and billed separately.
6.3 Any change in project requirements may result in revised timelines and additional charges.
7. Payment Terms
7.1 All invoices are to be cleared within the agreed time frame. Delayed payments may lead to service suspension without any liability on Acacious Technologies.
7.2 Taxes, transaction charges, or applicable fees will be borne by the client as per legal requirements.
7.3 No refunds will be provided once the work has been initiated, except in exceptional cases where Acacious Technologies fails to deliver the service.
8. Service Suspension or Termination
8.1 Acacious Technologies reserves the right to suspend or terminate services in case of –
- Non-payment or delayed payment by the client
- Misuse of services or breach of terms
- Force majeure events or unavoidable circumstances
8.2 In case of termination initiated by Acacious Technologies, we will provide a 15-day notice and settle any pending deliverables proportionate to the payment received.
9. Confidentiality
9.1 Both parties agree to maintain confidentiality of any sensitive information shared during the course of the project.
9.2 Acacious Technologies may showcase the completed work in its portfolio for promotional purposes unless explicitly restricted by the client in writing.
10. Intellectual Property Rights
10.1 Upon full payment, the client will own the rights to final deliverables, except for any third-party licenses or tools used.
10.2 Acacious Technologies retains the right to reuse generic components, frameworks, or codes developed during the project for other clients unless otherwise agreed.
11. Liability Limitation
11.1 Acacious Technologies will strive for the best results, but we do not guarantee specific outcomes (e.g., search rankings, sales figures, or third-party approvals).
11.2 In no event shall Acacious Technologies be liable for any indirect, incidental, or consequential damages arising from the services provided.
12. Force Majeure
Acacious Technologies shall not be held liable for any delays or failures due to circumstances beyond our reasonable control, including but not limited to natural disasters, technical failures, internet disruptions, or government actions.
13. Governing Law & Dispute Resolution
13.1 These Terms & Conditions shall be governed by the laws of India.
13.2 Any disputes shall be subject to the jurisdiction of the courts in the city where Acacious Technologies is registered.
13.3 Both parties agree to attempt amicable resolution of disputes before seeking legal remedies.
14. Amendments to Terms
Acacious Technologies reserves the right to update or modify these Terms & Conditions at any time without prior notice. The updated terms will be available on our website, and continued use of services will signify acceptance of the updated terms.
